1. Agreement to Terms

These Terms of Use constitute a legally binding agreement between you (“you,” “your,” or “User”) and Gem State Robotics Alliance, Inc. (“GSRA,” “we,” “us,” or “our”) concerning your access to and use of the GSRA website at https://www.gsrobotics.org, including pages, forms, features, content, and services made available through the website (collectively, the “Site”).

By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use and our Privacy Policy.

If you do not agree to these Terms, please do not use the Site.

GSRA reserves the right to modify these Terms of Use at any time. Changes will become effective when posted to the Site, unless otherwise stated. The “Last Review and Update” date will indicate when these Terms were most recently revised. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

2. Eligibility and Minors

The GSRA Site is intended for general audiences and may be accessed by individuals of various ages.

If you are under 18, you should have permission from a parent or legal guardian before submitting personal information, making a donation, registering for an event, or otherwise entering into an agreement through the Site when required by applicable law.

Parents and guardians are responsible for supervising minors' use of the Site and for determining whether particular GSRA programs or activities are appropriate for their children.

GSRA may impose additional age or parental-consent requirements for particular programs, registrations, or activities.

3. GSRA and Third-Party Organizations

Gem State Robotics Alliance, Inc. is an independent nonprofit organization.

Unless specifically stated otherwise, GSRA is not owned, operated, controlled, or governed by another robotics organization.

References to third-party organizations, competitions, programs, teams, sponsors, trademarks, or services on the Site do not necessarily indicate sponsorship, endorsement, partnership, or affiliation.

Third-party programs and competitions may have their own rules, requirements, registration systems, and policies.

4. Intellectual Property

Unless otherwise indicated, the Site and its original content, including text, graphics, photographs, logos, designs, documents, and other materials, are owned by or licensed to GSRA and may be protected by applicable intellectual property laws.

GSRA grants you a limited, non-exclusive, non-transferable right to access and use the Site for lawful personal, educational, and informational purposes.

Except as permitted by law or with written permission from GSRA, you may not:

  • Reproduce substantial portions of GSRA-owned content

  • Modify or create derivative works from GSRA-owned content

  • Sell or commercially exploit GSRA-owned content

  • Redistribute GSRA-owned materials as your own

  • Use GSRA trademarks or branding in a manner suggesting an unauthorized affiliation or endorsement

Third-party trademarks, logos, photographs, and other intellectual property remain the property of their respective owners.

5. GSRA Name and Branding

The name Gem State Robotics Alliance, the abbreviation GSRA, and GSRA logos and branding may not be used in a way that falsely suggests that an individual or organization is an official representative, partner, sponsor, or affiliate of GSRA.

Permission to use GSRA branding may be granted by GSRA in writing.

6. Acceptable Use

You agree to use the Site only for lawful purposes.

You may not use the Site to:

  1. Violate any applicable law or regulation.

  2. Attempt to gain unauthorized access to the Site, servers, accounts, or systems.

  3. Interfere with the operation or security of the Site.

  4. Introduce viruses, malware, malicious code, or other harmful material.

  5. Attempt to circumvent security or access controls.

  6. Use automated systems, scraping tools, bots, or similar technology in a manner that places an unreasonable burden on the Site.

  7. Collect email addresses or other personal information from the Site for unauthorized purposes.

  8. Impersonate GSRA, its personnel, volunteers, teams, or representatives.

  9. Submit false, misleading, fraudulent, or unlawful information.

  10. Use the Site to harass, threaten, abuse, or harm another person.

  11. Use the Site for unauthorized commercial purposes.

GSRA may restrict or terminate access to the Site when reasonably necessary to protect the Site, its users, GSRA, or others.

7. Website Content and Accuracy

GSRA makes reasonable efforts to provide accurate and useful information on the Site. However, information may contain errors, omissions, or outdated information.

Event dates, schedules, locations, registration information, competition information, team information, and other program details may change without notice.

GSRA does not guarantee that information on the Site will always be complete, accurate, current, or available.

Important information should be verified with the applicable event organizer, competition organization, or other authoritative source.

8. Robotics Events and Programs

Information regarding robotics teams, competitions, events, programs, schedules, rankings, or other activities may be provided for informational purposes.

GSRA is not responsible for decisions, rules, cancellations, postponements, eligibility requirements, registration decisions, results, or other actions taken by independent event organizers or third parties.

Participation in a GSRA event or program may be subject to additional rules, waivers, registration requirements, codes of conduct, or other policies.

9. Third-Party Websites and Services

The Site may contain links to or integrations with third-party websites and services.

These may include fundraising, payment, email, analytics, security, event, robotics, social media, or other services.

GSRA does not control and is not responsible for the content, availability, security, privacy practices, or policies of third-party websites and services.

Your use of third-party services is subject to the applicable terms and policies of those third parties.

10. Donations and Payments

GSRA may use third-party services to process donations, payments, registrations, or other transactions.

Payment information may be collected and processed by the applicable third-party payment provider rather than directly by GSRA.

By making a donation or payment, you agree to the applicable terms and policies of the payment provider.

GSRA may correct errors, reject transactions, or issue refunds when reasonably necessary, including in cases involving technical errors, duplicate transactions, suspected fraud, or unauthorized transactions.

GSRA is a nonprofit organization. The tax deductibility of a donation depends on applicable law and the donor's individual circumstances. Donors are responsible for determining their own tax treatment.

11. User-Submitted Content

Certain GSRA services may allow users to submit information, photographs, comments, testimonials, documents, or other materials.

By submitting content to GSRA, you represent that:

  • You have the right and necessary permissions to submit the content.

  • The content does not knowingly violate another person's intellectual property or privacy rights.

  • The content does not contain unlawful, fraudulent, or malicious material.

  • The content does not intentionally contain harmful code or security threats.

You retain ownership of content you submit unless otherwise agreed.

You grant GSRA a non-exclusive permission to use submitted content as reasonably necessary for the purpose for which it was submitted, including operating, promoting, documenting, or administering applicable GSRA programs or activities.

GSRA may remove or decline to publish submitted content at its discretion.

12. Privacy

Your use of the Site is also subject to the GSRA Privacy Policy.

The Privacy Policy explains how GSRA may collect, use, disclose, and protect information obtained through the Site.

Our Privacy Policy is incorporated into these Terms of Use by reference.

13. Cookies and Third-Party Technologies

The Site may use cookies and similar technologies through GSRA and third-party services.

GSRA currently uses services that may include Google Analytics, MailerLite, Givebutter, Cloudflare, and Google reCAPTCHA.

These services may process information according to their respective policies.

14. Site Availability and Maintenance

GSRA does not guarantee that the Site will always be available, uninterrupted, secure, or error-free.

The Site may occasionally be unavailable because of maintenance, updates, technical problems, security issues, third-party service interruptions, or other circumstances.

GSRA reserves the right to modify, suspend, discontinue, or remove any portion of the Site at any time.

15. Disclaimer

THE SITE AND ITS CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS TO THE MAXIMUM EXTENT PERMITTED BY LAW.

GSRA DISCLAIMS WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE DISCLAIMED.

GSRA does not warrant that:

  • The Site will always be available.

  • The Site will be error-free.

  • Information on the Site will always be accurate or complete.

  • The Site will be free from harmful software or security vulnerabilities.

  • Third-party websites or services will be available, accurate, or secure.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GSRA AND ITS DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AND REPRESENTATIVES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE.

THIS INCLUDES, TO THE EXTENT PERMITTED BY LAW, DAMAGES ARISING FROM WEBSITE INTERRUPTIONS, TECHNICAL ERRORS, THIRD-PARTY SERVICES, RELIANCE ON WEBSITE CONTENT, OR UNAUTHORIZED ACCESS TO INFORMATION.

NOTHING IN THESE TERMS IS INTENDED TO EXCLUDE LIABILITY THAT CANNOT LEGALLY BE EXCLUDED OR LIMITED.

17. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless GSRA and its directors, officers, employees, volunteers, representatives, and affiliates from claims, liabilities, damages, losses, and expenses arising from:

  • Your violation of these Terms.

  • Your misuse of the Site.

  • Your violation of applicable law.

  • Your violation of another person's rights.

  • Content you submit to GSRA.

GSRA reserves the right to assume the exclusive defense of any matter for which indemnification may apply.

18. Termination

GSRA may suspend or terminate your access to the Site, in whole or in part, at any time when reasonably necessary, including if you violate these Terms or applicable law.

Termination does not affect provisions that by their nature should continue after termination, including intellectual property, disclaimers, limitations of liability, and indemnification provisions.

19. Governing Law

These Terms of Use are governed by the laws of the State of Idaho, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Any legal action relating to these Terms or your use of the Site shall be brought in a court of competent jurisdiction in Idaho, unless applicable law requires otherwise.

20. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect.

21. Entire Agreement

These Terms of Use and the GSRA Privacy Policy constitute the agreement between you and GSRA concerning your use of the Site, except where additional terms specifically apply to a particular GSRA program, event, service, or transaction.
